Terms and Conditions

1. Who Can Use the Service

The Service is built for businesses and the people they authorize to use it. You must be at least 18 years old and authorized to act for your business. The Service is not meant for personal or household use, and it is not directed to anyone under 18.

2. Your Account and Login

You are responsible for your login credentials and for everything that happens under your account. Keep your credentials private, and tell us promptly if you think someone is using your account without permission. Your account is for your business only.

3. What Your Access Includes

As long as you follow these Terms and pay the fees that apply, Bison Rise gives you a limited, revocable, non-exclusive, non-transferable license to use the Service for the internal business purposes of the one business tied to your account. No other rights are granted.

4. What You May Not Do

You agree not to share, sell, sublicense, rent, or transfer your access or credentials; copy, resell, or redistribute the Service, its calculators, templates, or documents; reverse engineer, decompile, or try to derive the source code except where the law does not allow this restriction; scrape, harvest, or bulk export data or content; use the Service to build or train a competing product, calculator, or benchmark set; or use the Service unlawfully or in a way that harms, overloads, or interferes with the Service or other users.

5. Who Owns What

Bison Rise and its licensors own the Service, including its software, calculators, methodology, workflows, templates, documents, branding, and all related intellectual property. These Terms do not transfer any of that ownership to you. You may use the outputs you generate for your own business. You keep ownership of the data you enter, subject to the license you give us in Section 6.

6. Your Data

You give Bison Rise a license to host, store, process, and use the data and content you enter so that we can operate, provide, and improve the Service. How we handle your data is described in our Privacy Policy. If you opt in to anonymized benchmarking, we may use de-identified and aggregated data as described there. You are responsible for the accuracy and legality of the data you enter and for having the right to enter it.

7. Fees, Billing, and Pausing Access

Your fees, billing cycle, and any trial terms are the ones shown to you at purchase or in your separate enrollment or order documents. Payments are handled by a third-party payment processor. Except where the law requires otherwise or where we state otherwise in writing, fees are non-refundable. If a payment fails or your account falls past due, we may pause or limit your access until the balance is resolved.

8. Links and Partner Referrals

The Service may reference, link to, or recommend third-party products and services. Those third parties are independent. We do not control them and are not responsible for their products, services, pricing, or conduct. Some referrals may earn Bison Rise a fee or other compensation, which we disclose where the recommendation appears.

9. No Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

The Service is an educational and planning tool. It does not provide financial, tax, accounting, legal, or other professional advice. Its outputs are based on the information you enter, which we do not verify. We do not promise that the Service will be uninterrupted or error-free, or that any output is accurate or complete.

10. Limits on Our Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BISON RISE AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

11. Your Responsibility to Cover Certain Claims

You agree to defend, indemnify, and hold harmless Bison Rise and its owners, employees, and contractors from and against claims, damages, liabilities, costs, and expenses arising out of or relating to your use of the Service, your data or content, your business decisions, or your breach of these Terms.

12. Ending Your Access

These Terms apply for as long as you use the Service. You may stop using it at any time. We may pause or end your access if you break these Terms, if your account is past due, or if we discontinue the Service.

13. Changes to the Service and These Terms

We may change, pause, or discontinue any part of the Service. We may also update these Terms from time to time. If we make a material change, we will take reasonable steps to let you know.

14. Which Law Applies

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except where federal law controls.

15. How Disputes Are Handled

First, the parties will try to resolve any dispute informally. Any dispute that cannot be resolved informally will be settled by binding arbitration, conducted in [COUNTY], Florida, on an individual basis.

16. How These Terms Fit With Your Enrollment Agreement

If you have signed a separate Enrollment Agreement or order form with Bison Rise, and it conflicts with these Terms, the Enrollment Agreement controls for the subject matter it covers.

17. Other Terms

If any part of these Terms is found unenforceable, the rest stays in effect, and the unenforceable part is limited only as much as necessary. These Terms, together with the Privacy Policy and any Enrollment Agreement, are the entire agreement between you and Bison Rise about the Service.
